These Terms of Service (the “Terms”) govern your access to and use of the services provided or made available by EcoHash Technology LLC (“EcoHash,” “we,” “us,” or “our”), including our public website, documentation site, developer console, OpenAI-compatible inference APIs, dedicated model endpoints, GPU instance and cluster services, the EcoHash model marketplace (including community-published models), and related support or professional services (collectively, the “Services”). These Terms incorporate by reference any acceptable use policy, product-specific terms, model-specific notices, usage limits, pricing terms, data handling notices, privacy notices, service documentation, or other policies referenced in these Terms or made available through the Services, in each case as applicable to your use of the Services.
By accessing or using the Services, creating an account, clicking to accept these Terms, generating or using an API key, deploying a model or endpoint, launching a GPU instance or cluster service, submitting content, or otherwise using any part of the Services, you agree to these Terms. If you use the Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms, and “you” and “your” refer to both you and that entity, as applicable.
1. Eligibility and Account Obligations
- You must be at least 18 years old and legally able to agree to these Terms. If you agree to these Terms on behalf of an organization, you represent that you have authority to bind it. We do not knowingly provide the Services to anyone under 18.
- You are responsible for account credentials, API keys, team access controls, and all activity under your account.
- You must provide accurate registration and billing details and keep them updated.
- You must promptly notify us at info@ecohash.com of any suspected unauthorized account use or security incident.
2. Services and Acceptable Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services. We may update, improve, or modify features from time to time.
You agree not to use, and not to permit anyone to use, the Services, Customer Content, Output, models, endpoints, GPU instance and cluster services, API keys, or related infrastructure to:
- Engage in unlawful, fraudulent, abusive, deceptive, or rights-infringing activity, including activity that violates intellectual property, privacy, publicity, contractual, or other third-party rights.
- Generate, distribute, solicit, store, process, or facilitate child sexual abuse material (CSAM) or any content that sexually exploits or endangers minors.
- Create non-consensual sexual content or sexualized deepfakes depicting real people, or generate content intended to harass, defame, impersonate, deceive, or misrepresent a specific person without clear authorization.
- Create, distribute, or facilitate deceptive synthetic media, deepfakes, or unauthorized uses of a person’s name, image, likeness, voice, biometric characteristics, or personal attributes in violation of law or without required rights, consents, or disclosures.
- Clone, synthesize, transcribe, or use a person’s voice without required consent or lawful basis, including for impersonation, fraud, social engineering, deceptive communications, or other unauthorized voice-based activity.
- Plan, promote, or provide operational instructions for violence, self-harm, terrorism, the creation of weapons (including chemical, biological, radiological, nuclear, or high-yield explosive weapons), or attacks on critical infrastructure.
- Conduct large-scale unauthorized surveillance, facial recognition on the general public, or processing of biometric identifiers without a lawful basis and all required notices, consents, and approvals.
- Produce automated mass fraud, phishing, spam, or influence-operation content targeting elections or public institutions, or operate bots, fake accounts, or coordinated deceptive activity designed to mislead or manipulate individuals, markets, public debate, or public processes.
- Deploy the Services in applications that materially affect individuals’ legal, financial, health, employment, housing, insurance, education, or criminal-justice rights or opportunities without implementing (A) meaningful human review and oversight, (B) appropriate disclosures to affected individuals, (C) any applicable professional licensure, and (D) reasonable safeguards against the Services being treated as the sole basis for such decisions.
- Attempt to reverse engineer, probe, disrupt, compromise, or gain unauthorized access to the Services, bypass security or rate-limit controls, interfere with other users, or their workloads, data, models, endpoints, or compute resources.
- Introduce malware, or use automated abuse patterns or request traffic beyond documented limits, including credential theft, credential stuffing, unauthorized scraping, denial-of-service attacks, spam distribution, botnet activity, proxying, tunneling, or other resource-abusive or security-abusive activity.
- Process sensitive regulated data (such as protected health information, payment-card data, or government-issued identifiers) unless your use complies with applicable law and any product-specific restrictions we publish. As of the date of these Terms, no Services are authorized for the processing of protected health information, payment-card data, or government-issued identifiers; EcoHash will publish or otherwise make available product-specific eligibility before any such authorization takes effect.
You may not use the Services in violation of applicable export controls, sanctions, or trade restrictions, including U.S. OFAC and EAR regulations. You represent that neither you nor any end user or other party that receives, uses, benefits from, or controls access to the Services is subject to applicable sanctions or export-control restrictions or located in a comprehensively sanctioned jurisdiction. You further agree not to use the Services for prohibited end uses or end users, including weapons of mass destruction, military-intelligence, or restricted AI training uses prohibited by applicable law. EcoHash may require identity, location, ownership, payment, end-use, end-user, or downstream access information before granting or continuing access to certain Services, and may deny, limit, suspend, or terminate access as described in Section 10 if such information is not provided or cannot be verified.
You may integrate the Services into your own applications, products, or services and make them available to your customers, end users, or other third parties. You remain the front-line contracting party for those downstream users and are responsible for their compliance with these Terms, the AUP, applicable law, and applicable third-party model licenses and use policies, including by ensuring that appropriate terms flow down to those users. EcoHash may require additional approval, technical safeguards, or contractual commitments before permitting use cases that operate primarily as thinly wrapped resale, white-label aggregation, or a competing inference marketplace.
Child sexual abuse material (CSAM).We may use automated screening, hash-matching against known-CSAM databases, and human review to detect prohibited content. We will preserve evidence and report apparent CSAM to the National Center for Missing & Exploited Children (NCMEC), and to law enforcement, as required by 18 U.S.C. § 2258A and other applicable law. Accounts associated with such content will be suspended or terminated.
3. Third-Party Models and Services
The Services may give you access to, or let you deploy, third-party models, model repositories (for example, models you pull from Hugging Face), or partner infrastructure. Those components are subject to their own licenses, terms, and acceptable-use rules, which may restrict commercial use, require attribution, forbid certain content types, limit redistribution or hosting, restrict training or fine-tuning, impose naming or notice requirements, or otherwise limit how the component and its outputs may be used. These may include proprietary, community, open-source, open-weight, research, non-commercial, source-available, or other license types and use policies, as amended from time to time.
For EcoHash-hosted platform models, you are responsible for complying with all model-specific notices, licenses, acceptable use policies, use restrictions, attribution requirements, and other terms made available through the Services, documentation, console, model details, or by the applicable upstream provider. Output returned by a third-party model may itself be subject to restrictions under that model’s license or use policy.
For customer models, community models, or any models, weights, checkpoints, adapters, datasets, repositories, code, or other materials that you upload, deploy, fine-tune, publish, or otherwise make available through the Services, you represent and warrant that you have all rights, licenses, permissions, and consents necessary to use, access, host, deploy, modify, fine-tune, distribute, commercialize, and otherwise make available those materials for your intended use case, and that your use complies with all applicable licenses, acceptable use policies, attribution requirements, downstream-distribution requirements, and other restrictions.
EcoHash does not grant you any rights in third-party models, repositories, software, datasets, or infrastructure except for the technical access made available through the Services, and EcoHash does not independently verify, and is not responsible for, the licensing status, commercial suitability, safety, accuracy, or non-infringement of third-party models. You are responsible for reviewing and complying with any model-specific notices, license information, source links, usage restrictions, and other details made available through the Services, documentation, console, or the applicable upstream provider. EcoHash may add, remove, disable, restrict, replace, or require additional approval for access to any third-party model, repository, component, or infrastructure at any time, including where EcoHash determines that doing so is appropriate for legal, licensing, safety, security, operational, or business reasons.
4. Your Content and Output
- You may submit inputs such as prompts, files, datasets, code, checkpoints, and configuration to the Services (“Customer Content”). The Services may return model results or generated outputs, including text, images, audio, video, or other responses (“Output”).
- As between you and EcoHash, you retain your rights in Customer Content and your Output to the extent such Output is itself protectable and subject to these Terms, applicable law, and any applicable third-party model licenses or use restrictions. You acknowledge that Output is generated by statistical models and that similar or identical Output may be returned to other users for similar inputs; EcoHash makes no representation that Output is unique to you or that it is copyrightable under applicable law. Data and artifacts you store through the Services remain under your control.
- You grant EcoHash a limited license to host, process, transmit, and use Customer Content and Output solely to provide, secure, support, monitor, bill for, prevent abuse of, and comply with law in connection with the Services.
- You are responsible for ensuring Customer Content and your use of Output comply with law, applicable third-party model licenses, and these Terms, including any rights of privacy, publicity, intellectual property, data protection, confidentiality, contractual, or other third-party rights. Output may be inaccurate, incomplete, or unsuitable for your use case and should not be relied on without appropriate human review.
- EcoHash does not use Customer Content or Output to train any models, EcoHash’s own or third parties’, unless you expressly opt in through a documented mechanism EcoHash may make available, or you separately agree in writing. Where you route requests through the Services to a third-party model provider, that provider’s own data-use practices apply to the data sent to them, and you are responsible for reviewing the applicable provider terms and notices.
5. Community Marketplace Submissions
If you publish a model to the EcoHash marketplace, you represent that you have all rights needed to do so, that the submission does not infringe any third-party rights, and you grant EcoHash and other users a license to access, download, and use the model consistent with the license you designate. You must accurately describe the model, its license, source, permitted uses, required notices, attribution requirements, and any material training-data or safety limitations. You are responsible for ensuring that your submission does not contain malware, backdoors, credential-harvesting functionality, unauthorized personal data, trade secrets, or other unlawful or harmful content. EcoHash may, but is not obligated to, review submissions for malware, license accuracy, safety, or other concerns, and the absence of such review is not a representation that any submission is safe, lawful, or fit for any purpose. EcoHash does not endorse, verify, or warrant community marketplace submissions. We may remove submissions that violate these Terms or applicable law or that EcoHash reasonably determines may present legal, licensing, safety, security, operational, or reputational risk.
6. Security, Privacy, and Data Handling
We maintain reasonable administrative, technical, and organizational safeguards designed to protect the Services and data processed through them. We may monitor usage for reliability, security, abuse prevention, compliance, and billing.
Our collection and processing of personal data is described in our Privacy Policy. You are responsible for providing any notices and obtaining any consents required for Customer Content or personal data that you submit to or process through the Services. Unless expressly permitted by applicable documentation or a written agreement with EcoHash, you should not submit sensitive or regulated data, such as protected health information, payment-card data, government-issued identifiers, biometric identifiers, or children’s data.
7. Fees and Payment
You agree to pay all fees associated with your account, including usage-based charges for APIs, GPU instance and cluster services, and related platform features, according to the pricing in effect when the charges are incurred or as set out in a written agreement signed by EcoHash. Fees may vary by model, endpoint type, usage tier, region, usage level, deployment option, and other service parameters. EcoHash’s usage records and metering systems will be used to determine fees, absent manifest error.
- Fees are generally non-refundable unless required by law or expressly stated otherwise in these Terms, the applicable pricing terms, or a signed order form.
- You are responsible for applicable taxes, duties, and similar governmental charges.
- Promotional credits (including any free starter credit) have no cash value, are non-transferable and non-refundable. Promotional credits may be withheld, revoked, or disabled if EcoHash determines that they are being used for fraud, abuse, circumvention, resale, creation of multiple accounts to obtain additional credits, or other activity inconsistent with these Terms or the applicable promotional terms.
- We may suspend access for overdue amounts after notice.
- Auto-replenish and recurring billing. If you enable an account auto-replenish function, or if you subscribe to a recurring plan, charges will continue at the rate and cadence shown at sign-up until you turn the function off or cancel the plan in the console. You authorize EcoHash and its payment processors to charge your payment method for applicable fees, taxes, recurring charges, and auto-replenishment amounts. We will notify you in advance of material price changes. California residents may cancel auto-renewing subscriptions through the console at any time and receive a refund for any prepaid, unused period as required by law.
- You must raise any billing dispute within thirty (30) days after the charge or invoice date. If you do not raise a dispute within that period, the charge will be deemed accepted, except to the extent prohibited by applicable law. You remain responsible for undisputed amounts while a billing dispute is pending.
8. Intellectual Property
- EcoHash and its licensors own the Services, software, platform interfaces, documentation, and related technology, excluding Customer Content and Output.
- These Terms do not transfer ownership of EcoHash intellectual property to you. Except for the limited right to access and use the Services under these Terms, EcoHash and its licensors reserve all rights, title, and interest in and to the Services and EcoHash intellectual property. You may not remove, obscure, or alter any proprietary notices, branding, or attribution included in the Services or documentation.
- Feedback you provide may be used by EcoHash without restriction or compensation, unless otherwise agreed in writing. To the extent you have any rights in such Feedback, you grant EcoHash a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, perform, and otherwise exploit such Feedback for those purposes.
- You may not use EcoHash’s name, logos, trademarks, service marks, or branding without EcoHash’s prior written consent, except to the extent expressly permitted in writing by EcoHash.
9. Service Availability and Changes
The Services are provided on an evolving cloud platform. Except where a written agreement signed by EcoHash expressly states service levels, we do not guarantee uninterrupted or error-free operation, that any model, endpoint, GPU instance and cluster service, region, feature, or deployment option will remain available, or that the Services will meet your requirements, and we may change, suspend, restrict, or discontinue features, models, endpoints, regions, usage tiers, or other parts of the Services from time to time.
10. Suspension and Termination
We may suspend or terminate access to some or all Services if: (i) you materially breach these Terms, (ii) your use creates, or may create a security, legal, compliance, or operational risk, (iii) we are required to do so by law, (iv) fees are overdue, or your payment method fails, is declined, or the charge is subject to chargeback, or (v) EcoHash reasonably determines that suspension or termination is necessary to protect the Services, EcoHash, other users, third-party providers, rights holders, or the public.
You may stop using the Services at any time. Except where immediate action is required by law or in response to severe abuse, or a security, legal, compliance, sanctions, export-control, or operational risk, we will generally provide a reasonable window (typically 30 days) to export Customer Content after termination, after which we may delete it. Export may be unavailable or limited if your account is suspended or terminated for unlawful activity, sanctions or export-control risk, CSAM, security compromise, or other severe violation, or where preservation, legal hold, investigation, or reporting obligations apply. Where termination is based solely on overdue fees, EcoHash will provide a reasonable opportunity to settle outstanding amounts and to export Customer Content before deletion. Sections that by nature should survive (including payment obligations, IP, disclaimers, indemnities, and limitations) will survive termination.
11. Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Except as expressly stated in a written agreement signed by EcoHash, we disclaim all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, title, quiet enjoyment, and any warranties arising from course of dealing or usage of trade.
Model outputs may be inaccurate, incomplete, offensive, unsafe, non-unique, or otherwise unsuitable for your use case; you are responsible for review, testing, and human oversight of Customer Content, models, workloads, configurations, and Output, including before using Output in any production, regulated, high-impact, or safety-sensitive context. You are solely responsible for determining whether the Services, Customer Content, Output, and any third-party or community model are appropriate and lawful for your intended use.
12. Limitation of Liability
To the maximum extent permitted by law, EcoHash and its affiliates, licensors, service providers, officers, directors, employees, agents, and other representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, business interruption, loss of use, loss or corruption of data, cost of substitute services, or unauthorized access to or alteration of Customer Content or Output, whether based on contract, tort, strict liability, negligence, warranty, statute, or any other legal theory.
To the extent not prohibited by law, EcoHash’s total liability arising out of or related to these Terms or the Services will not exceed the amount paid by you to EcoHash for the Services giving rise to the claim in the twelve (12) months before the event giving rise to the liability. The foregoing cap is cumulative and applies in the aggregate to all claims arising out of or relating to these Terms or the Services. These limitations apply to the maximum extent permitted by law. Some jurisdictions do not allow certain limitations of liability, and in such jurisdictions the foregoing exclusions and limitations will apply only to the maximum extent permitted by applicable law.
13. Indemnity
By you. You will defend, indemnify, and hold harmless EcoHash and its affiliates, and their respective officers, directors, employees, agents, licensors, service providers, and other representatives, from and against any third-party claims, damages, losses, liabilities, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to your Customer Content, Output, models, workloads, configurations, your use of the Services, downstream users, or your violation of these Terms, applicable third-party model licenses or use policies, or applicable law.
By EcoHash. EcoHash will defend you against, and pay any final judgment a court of competent jurisdiction enters in, a third-party claim alleging that EcoHash’s proprietary platform software, as provided by us and used by you in accordance with these Terms, infringes a U.S. patent, U.S. copyright, or trade secret of that third party, and will pay reasonable attorneys’ fees and costs related to that defense, subject to the limitations below. EcoHash takes commercially reasonable steps to source third-party models from providers with publicly available license terms, to flow acceptable-use restrictions through to customers, and to remove or restrict access to third-party models where EcoHash becomes aware of material licensing, safety, or legal concerns. EcoHash does not, however, warrant the licensing status, training-data provenance, copyright clearance, or non-infringement of any third-party or community-published model, and the indemnity in this Section does not extend to claims arising from such models or their Output.
Exclusions. EcoHash has no obligation under this section for claims arising from (i) your Customer Content; (ii) Output of any model, including third-party or community-published models; (iii) your use of the Services in violation of these Terms or applicable law; (iv) your modifications or combinations of the Services with other products or data; (v) the third-party model itself or its training data; or (vi) open-source software or other components made available under separate license terms.
Conditions. EcoHash’s obligation to defend is conditioned on you (i) promptly notifying us in writing of the claim; (ii) giving EcoHash sole control of the defense and any settlement negotiations; and (iii) providing reasonable cooperation. EcoHash may, at its option, procure for you the right to continue using the Services, modify the Services so they no longer infringe, or terminate the affected portion of the Services and refund any prepaid unused fees. EcoHash’s aggregate liability under this section will not exceed the limitation of liability in Section 12. This Section 13 states EcoHash’s sole and exclusive liability, and your sole and exclusive remedy, for any third-party claim alleging infringement, misappropriation, or violation of intellectual property rights by the Services.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will publish an updated version and revise the “Last updated” date. If an update materially affects your rights or obligations, we will use reasonable efforts to provide notice, such as through the Services, the console, email, or other reasonable means. Unless we state otherwise, updated Terms will be effective when posted or on the effective date stated in the notice. Continued use of the Services after the effective date of updated Terms constitutes acceptance of those updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
15. Copyright Complaints (DMCA)
EcoHash respects the intellectual-property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe content available through the Services infringes your copyright, please send a written notice that includes (i) a physical or electronic signature of the rights holder or an authorized agent; (ii) identification of the work claimed to be infringed; (iii) identification of the allegedly infringing material and where it can be located; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is unauthorized; and (vi) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the rights holder’s behalf.
Send notices to our designated agent: dmca@ecohash.com. We will respond consistent with the DMCA, including by removing or disabling access to material that is the subject of a valid notice and terminating, in appropriate circumstances, the accounts of repeat infringers.
16. Force Majeure
Neither party will be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, strikes, internet or telecommunications outages, denial-of-service attacks, third-party hosting or upstream-provider failures, regulatory or government action, embargoes, or changes in applicable law. The affected party will use reasonable efforts to resume performance as soon as reasonably practicable. This Section does not excuse your obligation to pay fees for Services already provided or resources already consumed.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
The arbitration agreement and class-action waiver in this Section 17 apply to any dispute between you and EcoHash arising from your use of the Services under these click-through Terms. They do not apply to disputes arising under a separately negotiated written agreement signed by EcoHash, which will be governed by the dispute-resolution provisions of that agreement. To the extent a signed agreement is silent on dispute resolution, the provisions of this Section 17 will apply on a default basis.
Mandatory binding arbitration. Subject to the carve-outs below, you and EcoHash agree to resolve any dispute arising out of or relating to these Terms or the Services through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and Mediation Procedures in effect at the time of the demand. The arbitration will be conducted by a single arbitrator and held by remote videoconference, or, at either party’s written election, in New York, New York. The arbitrator’s award may be entered in any court of competent jurisdiction.
Carve-outs. The arbitration requirement does not apply to: (i) claims for injunctive or equitable relief, or claims regarding intellectual-property rights, which may be brought in the courts specified below; (ii) actions for individual relief that fall within the jurisdiction of a small-claims court; and (iii) disputes where the amount in controversy is less than US$10,000, which either party may elect to resolve through AAA’s expedited procedures or in small-claims court rather than full Commercial Arbitration.
Class-action and jury waiver. You and EcoHash each waive the right to a trial by jury and the right to participate in any class action, class arbitration, mass arbitration, or representative proceeding. Disputes must be brought in your or our individual capacity only. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative, class, or mass proceeding.
If a court of competent jurisdiction finds the arbitration agreement or class-action waiver unenforceable for any reason, that portion will be severed and the remaining portions will continue to apply. If the class-action waiver is found unenforceable, the entire arbitration agreement will be void.
Subject to the mandatory arbitration provisions above, the state and federal courts located in New York County, New York will have exclusive jurisdiction over any action arising out of or relating to these Terms or the Services that is not subject to arbitration, and each party consents to personal jurisdiction and venue in those courts.

19. Customer Terms
If you enter into an order form, master services agreement, or other written agreement signed by EcoHash, that agreement will supersede conflicting portions of these Terms solely with respect to the Services expressly covered by that agreement and solely to the extent of the conflict. Unless expressly agreed by EcoHash in a signed writing, any terms included in a purchase order, vendor portal, invoice, online procurement system, or other customer-provided document are rejected and will not amend or supplement these Terms.
